Association Development Franchise in Ukraine

1.The general position (by items):
1.1. Association Development Franchise in Ukraine (far - ADFU) is union, which have been created with
the aims assist in realization of the practical steps promote franchising in sphere of services by
means of small business and popularization of franchise in Ukraine`s economy.
1.6. The main goals of ADFU are create info-consulting, regulate-legal and organization conditions, to
render assistance members of ADFU by qualitative development small business by means realization
program "Franchise in Ukraine", to render practical assistance enterprises - members of ADFU in
development new forms and directions economy co-operation, provide growth production co-
operation with foreign partners, development invest activity members of ADFU and expand circle
participants mutually beneficial business, including international commercial activity and ties.
1.7. ADFU implement their activity in full coordination with present Ukraine`s legislation, as well as
Constituent Agreement and Charter.
1.8. ADFU is juridical face, acting by using members fees, have independent balance, may from their
name acquire property and personal nonproperty rights and carry by him responsibility, be plaintiff
and appeal in court, arbitration and court of arbitration.

1. Aims and object activity of ADFU:
1.1. ADFU create with aims defense interests of their members, enlightenment and popularization of franchising, as well as fulfill functions discussing forum persons, which employed in sphere of franchise.
2.4. Obtaining profit not to be aim of activity of AFU.

2. Rights of ADFU:
2.1. ADFU have right in sequence, established acting legislation in Ukraine:
* Enter in agreement conditions, to make a deal, other juridical acts including credit & promissory notes,
with enterprises all forms of owner, institutions, organizations, foreign firms and private individuals
* Provide outwardly economy activity
* Create branches, representations, departments and other solitary subdivisions of the ADFU in Ukraine
and / or foreign states in accordance with legislation of the above mentioned and so on.

3. Founders and Members of ADFU:
3.1. Founders and Members of ADFU may be any juridical individuals, independently from form of an ownership, who recognize aims and tasks of the ADFU, and interested in providing business ties with organizations & firms of the Ukraine and foreign countries.
3.2. Membership in ADFU open for Franchisors, potential franchise firms, legalowners by agreement of commercial subcon-cession, union of enjoyment, individuals enjoyment and owners of commercial concession, which have net of enterprises, as well as educational institutions, which respond requirements to their membership.
3.3. Categories of ADFU`s membership:
* Franchisors: "Legalowners by agreement of commercial concession"
* Franchisee: "Enjoyment by agreement of commercial concession"
* Service companies: "Field consultant / supplier of service, goods"
* Other categories: "Non government organization, education institutions, and so on"
3.4. Member of ADFU have equal right of voice
3.5. Board of Directors establish size of year member fee for each category of membership in ADFU

4. Member of ADFU have right:
* Take part in formed and work of ADFU
* To select and be elect in government body of ADFU
* On privilege to expose logotype for goods and services of ADFU and demonstrate their membership in
ADFU on their own office / bureaucracy accessories, in advertising & print materials.

5. Body of government and control of ADFU:
There are manage bodies of ADFU next:
* General meeting of members of ADFU
* Board of Directors
* Revision commission

6. Outward economy activity of ADFU:
6.1. Provide outward economy activity, ADFU enter in relation with differ kind of enterprises, organizations, and other juridical & physical faces of the foreign countries in accordance with aims and subjects activity of ADFU, and act in limit, established of Ukraine legislation.
6.2. In process of providing of outward economy activity, ADFU apply the full volume rights juridical face in accordance with present act legislation in Ukraine and present Charter.
